5. Quotations and Orders
5.1 Quotations
All quotations provided by Yanosaku are:
- Valid for 30 days from the date of issue unless otherwise stated
- Subject to availability and confirmation
- Not binding until a formal purchase order is accepted by us
- Subject to our minimum order quantities (MOQ) and payment terms
5.2 Order Acceptance
We reserve the right to accept or decline any order at our discretion. Order acceptance is confirmed when we issue a written order confirmation. Until such confirmation is provided, no binding contract exists.
5.3 Pricing
All prices are quoted in US Dollars (USD) unless otherwise specified. Prices are subject to change without notice. The price applicable to your order will be the price confirmed in your order confirmation.
5.4 Payment Terms
Payment terms are specified in each quotation and order confirmation. Standard payment terms include:
- New customers: 30% deposit, 70% balance before shipment
- Established customers: Net 30-90 days (subject to credit approval)
- Letter of Credit (LC) accepted for international orders
Late payments may incur interest charges and may affect future credit terms.
6. Product Quality and Specifications
6.1 Quality Standards
We manufacture furniture according to international quality standards including ISO 9001:2015, FSC, CARB Phase 2, REACH, and other applicable certifications. All products undergo multi-stage quality inspection before shipment.
6.2 Specifications
Product specifications are provided in good faith based on our current manufacturing processes. We reserve the right to make minor modifications to specifications without prior notice, provided such changes do not materially affect the product's functionality or quality.
6.3 Samples
Samples are provided for reference and quality evaluation. While we strive for consistency, minor variations between samples and production units may occur due to natural material variations and manufacturing processes.
7. Shipping and Delivery
7.1 Shipping Terms
Shipping terms are specified in each order confirmation and typically follow Incoterms 2020 standards (FOB, CIF, etc.). Risk of loss and title pass to the buyer according to the agreed Incoterms.
7.2 Delivery Times
Delivery times are estimates based on normal production and shipping conditions. While we strive to meet all delivery commitments, we are not liable for delays caused by:
- Force majeure events (natural disasters, pandemics, wars, etc.)
- Shipping carrier delays
- Customs clearance delays
- Port congestion or strikes
- Buyer-caused delays (late payments, specification changes, etc.)
7.3 Inspection Upon Delivery
Buyers must inspect goods upon delivery and report any visible damage or discrepancies within 48 hours of receipt. Failure to report issues within this timeframe may affect warranty claims.
8. Returns and Warranties
8.1 Warranty Coverage
We provide warranties on our products as follows:
- Residential furniture: 1-2 years from delivery date
- Commercial furniture: 2-5 years from delivery date (depending on product category)
- Warranty covers manufacturing defects and structural failures under normal use
8.2 Warranty Exclusions
Warranties do not cover:
- Normal wear and tear
- Damage from misuse, abuse, or improper assembly
- Damage from unauthorized modifications or repairs
- Damage during shipping (covered by shipping insurance)
- Natural variations in wood grain, color, or texture
- Damage from exposure to extreme conditions (heat, moisture, sunlight)
8.3 Returns
Returns are accepted only for:
- Manufacturing defects reported within warranty period
- Incorrect products shipped (must be reported within 7 days of receipt)
- Damaged products (must be reported within 48 hours of receipt with photo evidence)
Custom-made or specially ordered products are not eligible for return unless defective.
9. Limitation of Liability
9.1 General Limitation
To the maximum extent permitted by law, Yanosaku shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits or revenue
